Novatus Terms of Service

1. Introduction
Welcome to Novatus (the "Platform"). These Terms of Service ("Terms") govern your access to and use of the Novatus website, services, applications, and digital marketplace.
By creating an account, accessing the Platform, purchasing content, uploading content, or otherwise using Novatus, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Platform.
2. Nature of the Platform
Novatus is an online marketplace platform that allows independent developers and publishers ("Developers") to distribute digital games and related content to users.
Developers are solely responsible for the products they publish, including product descriptions, functionality, legality, intellectual property rights, and support obligations.
Novatus acts as a marketplace facilitator and platform provider. Unless explicitly stated otherwise, Novatus is not the creator, publisher, or owner of third-party game content distributed through the Platform.
3. Eligibility
You must be at least 13 years old to use the Platform.
If you are under the age of majority in your jurisdiction, you may only use the Platform with the involvement and consent of a parent or legal guardian.
You represent that you are legally capable of entering into binding agreements.
4. User Accounts
You are responsible for maintaining the confidentiality and security of your account credentials.
You are responsible for all activity that occurs under your account.
You agree to provide accurate and complete information.
Novatus reserves the right to suspend or terminate accounts that:
- violate these Terms;
- engage in fraud or abuse;
- infringe intellectual property rights;
- distribute malware or harmful software;
- interfere with Platform operations.
5. Purchases and Payments
Payments on the Platform are processed through third-party payment processors, including Stripe.
By making a purchase, you authorize the applicable payment processor to charge your selected payment method.
Prices are displayed in U.S. dollars unless otherwise stated.
Users are responsible for any applicable taxes, duties, or fees imposed by their jurisdiction.
Revenue share between Novatus and Developers is governed by the Developer Distribution Agreement, which defines applicable platform fees and payout structures.
Novatus reserves the right to cancel or refuse transactions suspected of fraud, abuse, or unauthorized activity.
6. Digital Products
All products sold or distributed through the Platform are licensed, not sold.
Purchasing a product grants the user a limited, non-exclusive, non-transferable license to download and use the product for personal, non-commercial use unless otherwise specified.
Users may not:
- redistribute products;
- reverse engineer products except where prohibited by law;
- resell activation keys or downloads;
- upload malicious modifications;
- circumvent technical protections.
7. Refunds
Refunds are governed by the Novatus Refund Policy.
Novatus reserves the right to issue, deny, or reverse refunds in cases involving fraud, abuse, technical issues, or policy violations.
8. Developer Content and
Responsibilities
Developers are solely responsible for:
- the legality of uploaded content;
- ensuring they possess all necessary rights and licenses;
- ensuring products do not infringe third-party intellectual property rights;
- ensuring products do not contain malware, spyware, ransomware, or malicious code;
- product support and accuracy of store descriptions.
By uploading content, Developers grant Novatus a worldwide, non-exclusive license to host, distribute, display, market, and operate such content for purposes related to the Platform.
Novatus reserves the right to remove or restrict content at its sole discretion.
9. Prohibited Conduct
Users and Developers may not:
- upload malicious or unlawful content;
- violate intellectual property rights;
- engage in fraud or deceptive practices;
- exploit payment systems or refunds;
- interfere with Platform infrastructure;
- use bots or automated systems to abuse the Platform;
- harass other users.
10. Intellectual Property
The Platform, including its software, branding, logos, and original content, is owned by Novatus or its licensors.
Except as expressly permitted, users may not reproduce, distribute, modify, or create derivative works from Platform materials.
11. DMCA and Copyright Complaints
Novatus responds to copyright infringement notices in accordance with applicable law.
If you believe content on the Platform infringes your copyright, you may submit a notice to:

- identification of the copyrighted work;
- identification of the allegedly infringing material;
- contact information;
- a good-faith statement;
- a statement under penalty of perjury;
- a physical or electronic signature.
Novatus may remove or disable access to allegedly infringing content.
12. Platform Availability
Novatus does not guarantee uninterrupted availability of the Platform.
The Platform may be modified, suspended, or discontinued at any time.
Novatus is not responsible for:
- server outages;
- data loss;
- incompatibility issues;
- third-party service failures.
13. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED �AS IS� AND �AS AVAILABLE� WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVATUS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND SECURITY.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVATUS SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- CONSEQUENTIAL DAMAGES;
- LOST PROFITS;
- LOSS OF DATA;
- BUSINESS INTERRUPTION.
NOVATUS�S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT PAID BY THE USER TO NOVATUS DURING THE PRIOR 12 MONTHS; OR
- $100 USD.
15. Indemnification
You agree to indemnify and hold harmless Novatus, its operators, affiliates, employees, and contractors from claims, damages, liabilities, and expenses arising from:
- your use of the Platform;
- your uploaded content;
- your violation of these Terms;
- your infringement of third-party rights.
16. Termination
Novatus may suspend or terminate access to the Platform at any time for violations of these Terms or to protect the Platform, users, Developers, or third parties.
Upon termination:
- licenses granted under these Terms terminate;
- certain purchased content may become unavailable;
- outstanding obligations survive termination.
17. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.
18. Changes to These Terms
Novatus may modify these Terms at any time.
Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
