1. Introduction

This Developer Distribution Agreement ("Agreement") governs the relationship between Novatus ("Platform") and the individual or entity publishing content through the Platform ("Developer").

By uploading, publishing, distributing, or monetizing content through Novatus, Developer agrees to this Agreement.

2. Appointment and Scope

Developer appoints Novatus as a non-exclusive distribution and marketplace platform for Developer�s digital products.

Developer retains ownership of all intellectual property rights in Developer content except for the limited rights expressly granted under this Agreement.

Developer may distribute products through other platforms and storefronts.

3. Developer Responsibilities

Developer is solely responsible for:

  • all uploaded products and content;
  • ensuring content complies with applicable laws;
  • ensuring products do not contain malware, spyware, ransomware, or malicious code;
  • ensuring products do not infringe third-party intellectual property rights;
  • customer-facing accuracy of descriptions, screenshots, trailers, and marketing claims;
  • obtaining all required licenses, permissions, and rights.

Developer represents and warrants that:

  • Developer owns or controls all necessary rights;
  • Developer content does not violate laws or third-party rights;
  • Developer content is not deceptive, fraudulent, or harmful.

4. Platform Review and Removal Rights

Novatus reserves the right to:

  • review submissions before publication;
  • reject submissions;
  • remove products;
  • suspend Developer accounts;
  • restrict access to content;
  • delay or withhold payouts in cases involving fraud, disputes, policy violations, or legal concerns.

Novatus is not obligated to publish or continue hosting any product.

5. License Grant

Developer grants Novatus a worldwide, non-exclusive, royalty-free license to:

  • host;
  • reproduce;
  • distribute;
  • display;
  • market;
  • promote;
  • provide downloads of;
  • operate and support;

Developer content in connection with operation of the Platform.

This license continues for as long as the content is distributed through the Platform and for a commercially reasonable period thereafter for backup, archival, legal compliance, and customer re-download purposes.

6. Payments and Revenue Share

Payments are processed through third-party payment processors, including Stripe Connect.

Unless otherwise agreed in writing, Developer will receive 85% of Net Revenue from each sale of Developer content distributed through the Platform, and Novatus will retain 15% as a platform fee. �Net Revenue� means the gross amount actually received from the customer for a transaction, minus:

  • payment processing fees
  • refunds
  • chargebacks
  • taxes where applicable

Novatus may deduct:

  • fraud-related losses;
  • other authorized deductions.

Novatus may adjust fees for promotional programs, special partnerships, or legacy agreements, provided Developers are notified in advance.

Payout schedules may vary based on:

  • payment processor requirements;
  • fraud monitoring;
  • account verification;
  • refund reserve policies.

Developer is responsible for providing accurate payout and tax information.

7. Taxes

Developer is responsible for all taxes associated with revenue received through the Platform except where Novatus is legally required to collect or remit taxes.

Developer agrees to provide any required tax documentation.

8. Refunds and Chargebacks

Refunds may be issued pursuant to the Novatus Refund Policy.

Developer acknowledges that refunds and chargebacks may be deducted from current or future payouts.

Novatus reserves the right to maintain reasonable reserves against anticipated chargebacks, fraud, or refund exposure.

9. Support Obligations

Developer agrees to provide reasonable support for products distributed through the Platform.

Developer shall make commercially reasonable efforts to:

  • address critical bugs;
  • respond to support inquiries;
  • maintain downloadable builds;
  • avoid knowingly distributing defective software.

10. Prohibited Content

Developer may not upload or distribute content that:

  • contains malware or malicious code;
  • infringes copyrights, trademarks, or other rights;
  • violates applicable laws;
  • exploits minors;
  • contains unlawful hate speech or unlawful extremist material;
  • facilitates fraud or illegal activity.

Novatus may remove prohibited content immediately and without notice.

11. Intellectual Property Complaints

Developer agrees to respond promptly to intellectual property disputes and takedown notices.

Novatus may remove allegedly infringing content pending investigation.

Repeated infringement may result in permanent account termination.

12. Confidentiality

Developer agrees not to disclose confidential information relating to Platform operations, internal tools, moderation systems, business metrics, or unpublished Platform features.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED �AS IS� AND �AS AVAILABLE� WITHOUT WARRANTIES OF ANY KIND.

NOVATUS DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVATUS SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • LOST PROFITS;
  • LOSS OF BUSINESS OPPORTUNITIES;
  • DATA LOSS;
  • BUSINESS INTERRUPTION.

NOVATUS�S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES RETAINED BY NOVATUS FROM DEVELOPER DURING THE PRIOR 12 MONTHS.

15. Indemnification

Developer agrees to indemnify and hold harmless Novatus and its operators, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

  • Developer content;
  • infringement claims;
  • malware or harmful software;
  • violations of law;
  • breach of this Agreement.

16. Termination

Either party may terminate this Agreement at any time.

Upon termination:

  • Novatus may remove Developer products;
  • users who previously acquired products may retain access where applicable;
  • outstanding payment obligations survive termination;
  • accrued liabilities and indemnification obligations survive termination.

17. Governing Law

This Agreement is governed by the laws of the State of North Carolina.

18. Modifications

Novatus may modify this Agreement from time to time.

Continued use of the Platform after changes become effective constitutes acceptance of the updated Agreement.
